SEMB - X To Wipe Off Losses?

The Director Board of SMB Leasing PLC is to recommend to its shareholders to agree to wipe off the loss of Rs.636,419,321/= from its books.
I do not know how this could be done. Kindly, please enlighten me on the procedure.
What could be the advantages and disadvantages.? Why must a Company recommend such action to its shareholders.?
